TWO PJM INTERCONNECTION PATHS Available for Electrical Power Distribution from a natural gas fired power plant or from solar or wind turbine farms. Site was originally assembled by a major utility for a nuclear power plant.

COMES WITH ALL SOLAR RIGHTS for an industrial scale solar farm with nearby connection to the PJM grid. Property is presently not leased for solar.

COMES WITH ALL WIND FARM RIGHTS. Property is near an operating wind farm and comes with all wind power rights and has not been leased for wind power.

SUSQUEHANNA RIVER ("RIVER") FRONTAGE. The Property, per a 2004 survey, has a riparian meander distance of 7,185 feet of frontage along the northeasterly side of the Susquehanna River and a riparian meander distance of 9,672 feet of frontage along the southwesterly side of the Susquehanna River. Riparian meander distance may or may not include Susquehanna riverfront around the island.

HYDROELECTRIC POWER PLANT. Potential exists for a small-scale hydroelectric power generation from the Susquehanna River. Riverfront is owned on both sides of the Susquehann River.

The Property is in a sweet spot of the Northeastern Pennsylvania Marcellus Natural Gas Field according to Chesapeake's "Core of the Core" Map and located in the Range Resources "Super-Rich" core. Many of the top natural gas wells in Wyoming County are within a few miles of the Property. NOTE: PROPERTY DOES NOT COME WITH NATURAL GAS, OIL, AND ASSOCIATED HYDROCARBON RIGHTS WHICH WILL BE SOLD SEPARATELY. NOTE: SUBSURFACE OIL, GAS, & ASSOCIATED HYDROCARBONS MAY BE PURCHASED SEPARATELY.

PROPERTY ASSEMBLED UNDER THE THREAT OF EMINENT DOMAIN FOR A NUCLEAR POWER PLANT IN THE 1970S and would be nearly impossible to replicate today. The Property encompasses most of the former farming village of Scottsville, Pennsylvania. After the utility company assembled and acquired the site, the homes in Scottsville were demolished leaving only foundations hidden today by forest. Scottsville was originally known as Hemlock Bottom and was first inhabited in 1787 by settlers from Connecticut. Farming was the major occupation. The land remained vacant and unimproved from the 70s and was purchased in 2004 by one of the conservancies we manage.

SURVEY: The Property has been surveyed as per ALTA/ACSM standards in 2004.

ZONING: There is no local zoning in the three Pennsylvania townships where the Property is located: Windham, Meshoppen, and Mehoopany Townships, Wyoming County, Pennsylvania. The subdivision and land development in those townships is regulated by Wyoming County, Pennsylvania through its Planning Commission.

SAND, GRAVEL, SHALE AND PENNSYLVANIA BLUESTONE (FLAGSTONE) RIGHTS: Contains multiple deposits of sand, gravel, shale, and bluestone, however, no mineral assay was performed. The Property contains an old, non-operating, small bluestone (flagstone) quarry North of the River and is contiguous to an existing operating bluestone quarry South of the River. Most of the major sand and gravel mines in Wyoming County, Pennsylvania are located adjacent to the Susquehanna River.

TIMBER: The Property is selectively timbered and managed for timber and produces annual timber revenue.

ANNUAL LEASES ON PROPERTY: Property is presently leased for hunting on an annual basis and a farmland lease is available.

FARMLAND: Approximately 100 acres of farmland can be leased to local farmers. Some of the farmland is Wyoming County River "flats" which are considered by many farmers to be the best farmland in Wyoming County. Several additional areas of the Property have been previously farmed and can be put back into working farmland. All leases terminate annually.

ISLAND: The Property comes with its own island in the Susquehanna River that is approximately 40 acres.

RAILROAD: The Property on the North side of the River is contiguous to the Blue Mountain Reading and Northern Railroad and contains 1.32 +/- miles of railroad frontage.

NOTE: Seller may retain several small parcels totaling 100 +/- acres and provide a pro-rata acreage deduct in the purchase price.

HUNTING: The heavily wooded forest, with excellent habitats and varieties of habitats (mature forest, new growth, mixed forest, field, river, ponds, farmlands, etc.) provide for an excellent hunting experience. The land is fully leased each year by hunting clubs. The site has deer, bear, turkey, grouse, geese, ducks, plus squirrels, coyote, doves, and rabbit.

FISHING: The Susquehanna River is well known in the northeast for its Small Mouth Bass, Walleye, and Muskie fisheries.

NOTE: Property posted against trespassing. Any visits to the property must be by appointment and accompanied by a representative of the Seller. Trespassers will be prosecuted.

Taxes: $4,503.16 (2021); property is enrolled in Wyoming County Clean & Green, a preferential tax assessment program that bases property taxes on use values rather than fair market values. This ordinarily results in a tax savings for landowners. A change in use of the property may trigger Rollback Clean & Green Taxes due by the Buyer upon the change of use.

Negotiation and Purchase and Sale Agreement. Any sale of the property described herein (the Property) is subject to a mutually agreeable purchase and sale agreement to be drafted by Seller which shall not be legally binding upon Seller unless and until all terms and conditions are accepted in writing by both Buyer and Seller and fully executed (hereinafter sometimes referred to as the Parties) with original signatures by the Parties. Until such time Seller is under no obligation to continue any negotiations with a prospective Buyer and Buyer may do likewise. Unless otherwise stated in a fully executed purchase and sale agreement, either of the Parties may discontinue further negotiations for any reason or no reason. Unless otherwise agreed to in writing with original signatures by the Parties, Seller and Buyer shall each bear their respective costs, including but not limited to due diligence and attorneys fees, incurred during the negotiation process. Under no circumstances may Seller or Buyer be held liable as a consequence of its termination of negotiations prior to the execution and exchange of a mutually acceptable purchase and sale agreement unless stated otherwise in a fully executed purchase and sale agreement. Transfer Tax. Buyer shall be responsible to pay all Pennsylvania real estate transfer taxes due at the time of closing.

Sales Price. The sales price for the Property shall be payable in United States dollars in certified bank funds or via a wire transfer before or at the closing of any transaction and no other currencies or virtual currencies will be accepted. The Seller shall not accept any portion of the Sales Price in the form of Seller financing.

Property Taken As Is. Except as may be specifically provided to the contrary in any purchase and sale agreement signed by Buyer and Seller, the Property is being sold by Seller in an "as is, where is with all faults condition and Seller makes no representations or warranties with respect to the past or present condition of the Property or for its actual or potential usage by the Buyer or for any particular purpose, nor does Seller make any representations and warranties as to the existence of natural gas, oil, and associated hydrocarbons reserves or value or the amount of timber, sand, shale, gravel, bluestone or other minerals on the Property.

Dispute Resolution by Way of Arbitration or Litigation. In the event of any controversy, claim or dispute that arises out of your use of this website or the Information contained herein, the parties shall consult and negotiate with each other and, recognizing their mutual interests, attempt to reach a solution satisfactory to both parties.

If the parties do not reach a resolution within a period of sixty (60) calendar days, an impasse shall be declared and any unresolved controversy, claim or dispute shall proceed to and at the sole election of the Seller will be settled either by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association in effect at the time such arbitration is initiated or by civil litigation commenced in the Court of Common Pleas of Wyoming or Luzerne Counties, as designated by the Seller. The laws of the Commonwealth of Pennsylvania shall govern the arbitration or civil litigation proceedings, without regard to conflict of law principles.

If the Seller elects to proceed to binding arbitration, Seller and [potential] Buyer shall appoint an individual as arbitrator within thirty (30) business days of the impasse and the two so appointed shall then appoint a third arbitrator. If either such party refuses or neglects to appoint an arbitrator within thirty (30) business days, the other party may appoint the second arbitrator. If the two arbitrators do not agree on the third arbitrator within thirty (30) business days of their appointment, each of the arbitrators shall nominate three individuals. Each arbitrator shall then decline two of the nominations presented by the other arbitrator. The third arbitrator shall then be chosen from the remaining two nominations by drawing lots. The law of Pennsylvania shall govern the arbitration to the fullest extent permitted by law, and all proceedings conducted by the arbitrators shall be held in Wyoming or Luzerne counties of Pennsylvania in the Sellers sole and absolute discretion. Dependent upon the Arbitrators schedules, the Parties shall use their best efforts to conclude the arbitration within three (3) months of the date the arbitration panel is fully appointed.

The decision rendered by a majority of the arbitrators shall be final and binding on all parties involved in the arbitration. Such decision shall be a condition precedent to any right of legal action arising out of the arbitrated dispute which either party may have against the other. Judgment upon the award rendered may be entered in any court of competent jurisdiction. Each party involved in the arbitration shall pay its own costs and attorneys fees, the fee and expenses of its own arbitrator, and one-half of the fee and expenses of the third arbitrator. All other expenses of the arbitration shall be equally divided between the said parties. Any action filed in order to enforce an arbitration award will be filed solely in the courts located in Wyoming or Luzerne counties of Pennsylvania in the prevailing partys sole and absolute discretion.

The parties to any such arbitration agree, and each appointed arbitrator shall agree, as part of acceptance of nomination, to keep confidential and not disclose to persons not connected with the arbitration the details of the arbitration proceeding and all information received by them as may be required by process of law.

All negotiations and arbitration proceedings will be confidential and treated as compromise and settlement negotiations for purposes of all similar rules and codes of evidence of applicable legislation and jurisdictions.
